<br /> NorMthstanding anything to the contrary contaixred in this Lease, Teuuattts shall have the right,
<br /> ith�aut the prior written consent of Landlord, to 1) assign this Lease to an A# iliatc of Tests or to
<br /> any entity with which Terms may merge or consolidate or to which TCnanU may sell all or
<br /> subst ia3ly all of its assets or capital stock and (2) sublease all or a Portion of the Demised property
<br /> so Iong as the perniLitted use under the sublease is limited to the operation of a permitted Use, the
<br /> teen of the sublease, including any extmI ion options, does not (and cannot) extend beyond the
<br /> scWWed Lease Term and Tenants remains primarily liable for the obligations under this Lease.
<br /> (h) If this Lease is assigned or transferred, or if all or any part of the Dernxsed
<br /> Property is sublet or O"Upied by any pay other them Temnts, Landlord may collect rertt from the
<br /> assignee, transferee, subt ants or occupant and apply the net amount collected to the Rent reserved
<br /> in this Lease, but no such assigmment, subletting, occupancy or collection shall be decreed a waiver
<br /> of any covenant or condition of this Lease or Landlord's acceptance of the assignee, transferee,
<br /> subtenants ar OccWant as Tenants, or a release by Landlord of Tenants fiiam the at

<br /> ecttoa 22.02 Upon any sublease or assigment permitted as provided in this Article 2 ,
<br /> TLT=ts shall deliver to Landlord copies of such sublease or assignment agreement_ La no event shall
<br /> Tenants be entitled to amend, extend or otherwise modify the Lem in any sublease or assignment
<br /> agreement that required the prior wrimm 0onsent of Landlord pursuant to the terms hereof without
<br /> fiv Prior written consent of Landlord, which consent LarAlord may withhold in its reasonable
<br /> discretion_
<br /> Section 22.03 Subject to the terms of this Lease, this Lease shall be binding upon,
<br /> enfor able by, and inure to the benefit of the parties hereto and their respective heirs, successo€s,
<br /> represeutta ves and assigns.
