ACCESS AGREEMENT <br /> This Access Agreement("Agreement")is entered into by and between Equilon Enterprises <br /> LLC dba Shell OR Products US, a Delaware limited liability company("Equilon")and Pamela <br /> Lynn Baffoni,Marian Marie Hamrick,ARS.L.2,The Janet S Precissi Separate Property <br /> Trust,The Nancy C Sanguinetti Separate Property Trust,Gloria A Beckham,The Gloria <br /> Garibaldi Beckham 1997 Trust,FJS Ranches, and The FJS Ranches Management Trust <br /> (collectively,"Owners"). Equilon and Owners shall be collectively referred to as the"Parties," <br /> or individually as a"Party."This agreement refers to the site generally located at 2085 E <br /> Mariposa Road, Stockton,California,APN 171-290-040-000 (the"Site"). Equilon is performing <br /> assessment and remediation of a release of petroleum hydrocarbons as further identified by the <br /> California Regional Water Quality Control Board,Central Valley Region as Case Number <br /> 392007 (the"Release"). <br /> 1. Grant o_f License. Owners hereby grant to Equilon, its agents, representatives, and <br /> subcontractors,a license to enter upon the Site for the purpose of investigation,tests,inspections, <br /> engineering studies, surveys, appraisals, environmental studies, remediation operations and/or <br /> other activities that Equilon deems necessary to comply with all applicable federal, state and <br /> local statutes, regulations, ordinances, directives, orders and standards governing underground <br /> storage tank systems and the assessment or remediation of petroleum hydrocarbons attributable <br /> to the Releases (the "Work"). This Agreement will terminate when the Work has been <br /> completed and Equilon has met all its obligations under this Agreement, including the <br /> abandoning of any monitoring wells installed by Equilon. <br /> 2. Authority, Owners represent that to the best of their knowledge Owners have the sole <br /> and exclusive right to grant access to the Site. <br /> 3, Cost of Work. Equilon will perform the Work under this Agreement at its sole cost and <br /> expense and will not allow any mechanic's liens to be placed on the Site because of the Work. <br /> Further, Equilon,with the reasonable cooperation of Owners but at no expense to Owners, shall <br /> obtain any and all permits that may be required for the Work it conducts under this Agreement. <br /> 4. Reports. Equilon will make available to Owners the results of all sampling and <br /> completed reports submitted to the agency resulting from the Work at the Site. The reports may <br /> be accessed through the State Water Resources Control Board GeoTracker website at <br /> htt :// eotracker.waterboards.ca, ov/ rofile re ort.as ? local id=T100000122M <br /> 5, Notice. Owners will be notified seven(7) days in advance of the schedule for the Work <br /> planned at the Site. <br /> g. No Unreasonable Interference. Equilon and its environmental consultants, in exercising <br /> the rights granted hereunder, will avoid unreasonable interference with the Owners' access to or <br /> use of the Site. <br /> 7, Performance of Work.
