ACCESS AGREEMENT This Access Agreement("Agreement")is entered into by and between Equilon Enterprises LLC dba Shell OR Products US, a Delaware limited liability company("Equilon")and Pamela Lynn Baffoni,Marian Marie Hamrick,ARS.L.2,The Janet S Precissi Separate Property Trust,The Nancy C Sanguinetti Separate Property Trust,Gloria A Beckham,The Gloria Garibaldi Beckham 1997 Trust,FJS Ranches, and The FJS Ranches Management Trust (collectively,"Owners"). Equilon and Owners shall be collectively referred to as the"Parties," or individually as a"Party."This agreement refers to the site generally located at 2085 E Mariposa Road, Stockton,California,APN 171-290-040-000 (the"Site"). Equilon is performing assessment and remediation of a release of petroleum hydrocarbons as further identified by the California Regional Water Quality Control Board,Central Valley Region as Case Number 392007 (the"Release"). 1. Grant o_f License. Owners hereby grant to Equilon, its agents, representatives, and subcontractors,a license to enter upon the Site for the purpose of investigation,tests,inspections, engineering studies, surveys, appraisals, environmental studies, remediation operations and/or other activities that Equilon deems necessary to comply with all applicable federal, state and local statutes, regulations, ordinances, directives, orders and standards governing underground storage tank systems and the assessment or remediation of petroleum hydrocarbons attributable to the Releases (the "Work"). This Agreement will terminate when the Work has been completed and Equilon has met all its obligations under this Agreement, including the abandoning of any monitoring wells installed by Equilon. 2. Authority, Owners represent that to the best of their knowledge Owners have the sole and exclusive right to grant access to the Site. 3, Cost of Work. Equilon will perform the Work under this Agreement at its sole cost and expense and will not allow any mechanic's liens to be placed on the Site because of the Work. Further, Equilon,with the reasonable cooperation of Owners but at no expense to Owners, shall obtain any and all permits that may be required for the Work it conducts under this Agreement. 4. Reports. Equilon will make available to Owners the results of all sampling and completed reports submitted to the agency resulting from the Work at the Site. Owners will be notified seven(7) days in advance of the schedule for the Work planned at the Site. g. No Unreasonable Interference. Equilon and its environmental consultants, in exercising the rights granted hereunder, will avoid unreasonable interference with the Owners' access to or use of the Site. 7, Performance of Work. The Work shall be performed in a commercially reasonable and workmanlike manner and appurtenances maintained in good condition and repair. Equilon will i/t
