exercise its rights and perform its Work under this Agreement in compliance with all applicable <br /> laws, regulations, and orders of any governmental agency with jurisdiction over the Work. <br /> Equilon will be responsible for the prompt removal, treatment and/or disposal of any <br /> contaminated soil or water associated with the Work, as well as the removal of all equipment <br /> associated with the performance of the Work. <br /> 8. Mutual Cooperation. Equilon agrees to coordinate its activities with Owners to minimize <br /> any inconvenience to or interruption of the conduct of Owners' or any tenant's business or <br /> development of the Site. Owners agree to cooperate with Equilon and execute any additional <br /> documents, without limitation, including permit applications, which may reasonably be required <br /> to effectuate the purpose of this Agreement. <br /> 9. Site Restoration. Equilon and its environmental consultants shall take reasonable <br /> precautions to minimize damage to the Site from the Work.Equilon will restore the surface areas <br /> of the Site disturbed by Equilon and/or its environmental consultants during the Work to as close <br /> to its condition existing at the time the Work began as is reasonably possible. <br /> 10. Indemnity. Equilon will indemnify, defend and hold Owners harmless from claims, <br /> costs,expenses, demands,Imes, causes of action, losses, damages,judgments or liabilities which <br /> may be made or asserted by any third party (including a governmental agency) on account of <br /> personal injury, death or property damage caused by the Work Equilon performs on the Site <br /> pursuant to this Agreement. Also,Equilon shall indemnify Owners against all lien claims arising <br /> out of any activity performed by Equilon or its contractors or subcontractors on the Site pursuant <br /> to this Agreement. <br /> 11. Insurance. Equilon shall require its contractors, while performing Work on the Site, to <br /> maintain at least the following insurance,with limits of liability no less than those stated below: <br /> (a) Comprehensive General Liability: Combined single limit for bodily injury and <br /> property damage of not less than$1,000,000.00 each occurrence and$2,000,000.00 <br /> annual aggregate. <br /> (b) Worker's Compensation Insurance and Employer's Liability Insurance: With <br /> limits of liability not less than those required by law. <br /> 12. Assignment, Successors and Assigns. This Agreement is binding upon and inures to the <br /> benefit of Owner and Equilon and their respective heirs, executors, administrators, personal <br /> representatives,successors,transferees and assigns. <br /> 13. Modifications. This Agreement constitutes the Parties' entire agreement on this subject. <br /> There are no written or oral representations or understandings that are not fully expressed in this <br /> Agreement. No change, waiver, or discharge is valid unless in writing and signed by the Party <br /> against whom it is sought to be enforced. <br /> 14. Rules of Construction. Owners and Equilon acknowledge that this Agreement has been <br /> negotiated at arm's-length and, therefore, agree that any rule of construction of contracts <br /> resolving any ambiguities against the drafting Party is waived and shall be inapplicable to this <br /> document. <br /> 2 <br />
