SITE ACCESS AGREEMENT <br /> THIS AGREEMENT ( "Agreement") is made and entered into by <br /> and between: <br /> THE STOCKTON PORT DISTRICT, hereinafter referred to as <br /> "Owner," and BP West Coast Products, LLC. , ST Services, <br /> Tesoro Petroleum Companies Inc. , and Time Oil Company, <br /> hereinafter referred to as the Stockton Terminals Technical <br /> Committee (STTC) . <br /> 1 . Site Access <br /> 1 . 1 Grant of Access : Purpose <br /> Owner grants to STTC its respective employees, agents, <br /> contractors, subcontractors and authorized representatives, <br /> the right to install, test operate, maintain, repair, <br /> replace, and remove groundwater monitoring wells on Owner' s <br /> Property; to collect and test groundwater samples <br /> periodically from such wells, and generally to use such <br /> wells as necessary to meet the Water Board' s requirements <br /> for groundwater testing. Owner also grants STTC rights to <br /> ingress to and egress from Owner' s Property for necessary <br /> personnel, machinery, and equipment, in furtherance of the <br /> purposes stated above. These rights of access are granted <br /> for so long as they are required by the Water Board. <br /> Currently the Water Board requires the installation of up <br /> to 17 wells as illustrated on the Attached Exhibit "A" <br /> (final Water Board approved work plan and regulatory orders <br /> and mandates) . <br /> 1 . 2 Additional Wells <br /> Should the Water Board require installation of additional <br /> groundwater monitoring wells on Owner' s Property, the STTC <br /> shall notify Owner of such requirement, including <br /> furnishing Owner information on the objectives to be met by <br /> such installation. The parties shall thereafter work <br /> together in good faith to agree upon terms and conditions <br /> that will meet all parties ' requirements, including those <br /> of the Water Board. If the parties agree on such terms and <br /> conditions, then such additional wells shall be installed <br /> pursuant to the terms and conditions of this agreement, as <br /> supplemented by the parties ' mutual understandings, reduced <br /> to a written amendment hereof, concerning such additional <br /> wells . <br />
