1 officers, agents, representatives, and employees from and against any and all claims, <br /> 2 demands or causes of action for injury to or death of persons, or loss of or damage to <br /> 3 property alleging intentional or negligent misconduct on the part of DISTRICT, its <br /> 4 officers, agents, representatives, or employees in the design, construction, <br /> 5 maintenance, or operation of the Pipeline facilities, to the extent of DISTRICT'S <br /> 6 intentional or negligent misconduct. Prior to commencement of Pipeline construction <br /> 7 and thereafter as long as this AGREEMENT is in effect, DISTRICT shall place in effect <br /> 8 and maintain Commercial Liability Insurance with a combined single limit of One Million <br /> 9 Dollars ($1,000,0OO.00i), or demonstrate the ability to self-insure to $1,000,000, such <br /> 10 limit may be changed by COUNTY. An umbrella liability policy or policies may be used <br /> 11 to obtain the total limit. All insurance companies issuing the required insurance shall <br /> 12 have a Best's rating of A-XII or better. COUNTY shall be included as a named <br /> 13 additional insured on the policies of insurance providing for thirty (30) days prior notice <br /> 14 of any modification or termination of the insurance. <br /> 15 9. DISTRICT shall install appropriate signage or otherwise delineate <br /> 16 completed improvements and provide ongoing maintenance thereof. <br /> 17 10. COUNTY shall use due diligence so as not to interfere with the Pipeline <br /> 18 facilities when performing maintenance or repairs to road surface and drainage facilities. <br /> 19 COUNTY shall provide reasonable advance notice to DISTRICT before undertaking or <br /> 20 permitting any COUNTY initiated maintenance or repairs requiring excavations within <br /> 21 the roadway rights-of-way which may affect the Pipeline. COUNTY shall impose <br /> 22 reasonable conditions to protect the Pipeline when excavating or permitting others to <br /> 23 excavate within the roadway rights-of-way occupied by the Pipeline. Reasonable notice <br /> 24 to DISTRICT of excavations may consist of routine notification to Underground Service <br /> -5- <br />
