1 Alert. <br /> 2 11. If COUNTY determines that future improvements to COUNTY <br /> 3 rights-of-way may damage or will require the removal, relocation, or modification of the <br /> 4 Pipeline, COUNTY shall notify DISTRICT in writing of such proposed project as soon as <br /> 5 the potential conflict is identified, but at least 180 calendar days in advance of the start <br /> 6 of construction of such improvements. COUNTY shall make reasonable efforts to work <br /> 7 with DISTRICT in designing the proposed improvements to minimize impacts to the <br /> 8 pipeline, including reasonable modifications to COUNTY'S proposed improvements. <br /> 9 COUNTY will not reject a solution which would require modifications of COUNTY'S <br /> 10 proposed improvements, solely on the grounds of additional construction cost, if' <br /> 11 DISTRICT agrees to pay the additional costs directly associated with the modifications. <br /> 12 Should the parties be unable to agree on an alternative that would not require removal, <br /> 13 relocation, modification, or potential damage to the pipeline, DISTRICT will relocate its <br /> 14 facilities in a timely manner, at DISTRICT'S expense. Should DISTRICT fail to provide <br /> 15 timely relocation of its facilities, COUNTY may cause DISTRICT'S facilities to be <br /> 16 relocated, and DISTRICT shall pay for the completed work upon presentation of an <br /> 17 itemized account of the cost thereof, and DISTRICT shall pay any delay and escalation <br /> 18 costs incurred by COUNTY. DISTRICT shall make any such payment to COUNTY <br /> 19 within sixty (60) days of receipt of an invoice. <br /> 20 12. Should DISTRICT desire to abandon portions of the Pipeline within the <br /> 21 COUNTY right-of-way, DISTRICT shall provide written notice to COUNTY. COUNTY <br /> 22 may impose reasonable conditions upon the proposed abandonment to protect the <br /> 23 COUNTY'S interest, including removal of the facilities. <br /> 24 13. Notices shall be personally delivered, sent by facsimile or sent by United <br /> -6- <br />
