1 proposed to remain in place and taken out of service. An electronic copy of the Record <br /> 2 Drawings shall also be furnished, in a mutually agreeable format. <br /> 3 5. CWS agrees to defend County, its officers, agents, representatives and <br /> 4 employees from and against any and all claims, demands or causes of action for injury to or <br /> 5 death of persons, or loss of or damage to property alleging intentional or negligent <br /> 6 misconduct on the part of CWS, its officers, agents, representatives or employees in the <br /> 7 design, construction, removal, disposal, maintenance or operation of the Projects' facilities, <br /> 8 and to indemnify and hold County harmless to the extent of CWS's intentional or negligent <br /> 9 misconduct. Prior to commencement of Projects' construction and thereafter as long as this <br /> 10 Agreement is in effect, CWS shall place in effect and maintain Commercial Liability <br /> 11 Insurance with a combined single limit of One Million Dollars ($1,000,000.00). An umbrella <br /> 12 liability policy or policies may be used to obtain the total limit. All insurance companies <br /> 13 issuing the required insurance shall have a Best's rating of A-XII or better. The County shall <br /> 14 be included as an additional insured on the policies of insurance providing for thirty (30) <br /> 15 days prior notice of any modification or termination of the insurance. <br /> 16 6. County shall use due diligence so as not to interfere with the Projects' facilities <br /> 17 when performing maintenance or repairs to road surface and drainage facilities. County <br /> 18 shall provide reasonable advance notice to CWS before undertaking or permitting any <br /> 19 County initiated maintenance or repairs requiring excavations within the roadway <br /> 20 rights-of-way which may affect the Projects. County shall impose reasonable conditions to <br /> 21 protect the Projects when excavating or permitting others to excavate within the roadway <br /> 22 rights of way occupied by the Projects. Reasonable notice to CWS of excavations may <br /> 23 consist of routine notification to Underground Service Alert. <br /> 24 7. If County determines that future improvements to County rights-of-way may <br />
