1 damage or will require the removal, relocation or modification of the Projects' facilities <br /> 2 (specifically including any existing asbestos concrete pipelines that will remain in place), <br /> 3 County shall notify CWS in writing of such proposed project as soon as the potential conflict <br /> 4 is identified, but at least 45 calendar days in advance of the start of construction of such <br /> 5 improvements. County shall make reasonable efforts to work with CWS in designing the <br /> 6 proposed improvements to minimize impacts to the Projects' facilities, including reasonable <br /> 7 modifications to the County's proposed improvements. County will not reject a solution <br /> 8 which would require modification of County's proposed improvements, solely on the grounds <br /> 9 of additional construction cost, if the CWS agrees to pay the additional costs directly <br /> 10 associated with the modifications. Should the parties be unable to agree on an alternative <br /> 11 that would not require removal, relocation, modification or potential damage to the Projects' <br /> 12 facilities, CWS will relocate or remove and dispose of its facilities in a timely manner, at <br /> 13 CWS expense. Should CWS fail to provide timely relocation of its facilities, County may <br /> 14 cause CWS's facilities to be relocated, removed and disposed of, and CWS shall pay for the <br /> 15 completed work upon presentation of an itemized account of the cost thereof, and CWS <br /> 16 shall pay any delay and escalation costs incurred by the County. CWS shall make any such <br /> 17 payment to the County within 60 days of receipt of an invoice. (Streets and Highways Code <br /> 18 1463) <br /> 19 8. Should CWS desire to remove from service portions of the Projects' facilities in <br /> 20 addition to those currently proposed to be removed from service within the County right-of- <br /> 21 way, CWS shall provide written notice to the County. The County may impose reasonable <br /> 22 conditions upon the proposal to protect the County's interest, including removal and <br /> 23 disposal of the facilities. <br /> 24 9.
