t <br /> LICENSE AND RIGHT OF ENTRY AGREEMENT <br /> Stockton, CA(#1323) <br /> THIS LICENSE AND RIGHT OF ENTRY AGREEMENT("Agreement" or "License") is _ <br /> made by and between.CHEVRON U.S.A. INC. ("Licensee") and MOTEL 6 OPERATING L.P., a <br /> Delaware limited partnership ("Licensor"),made effective this_day of April, 2007 (the "Effective <br /> j <br /> Date"). <br /> i <br /> RECITALS . <br /> WHEREAS,Licensee is performing an environmental site assessment (the "Assessment") of <br /> certain lands located at 2905 West Benjamin Holt Drive, Stockton, CA ("Property"); <br /> I <br /> WHEREAS, Licensor owns the land described as 6717 Plymouth Rd., Stockton, CA 95207 <br /> ("Motel 6 Property")located contiguous to or in the vicinity of the Property; <br />� I <br /> WHEREAS, Licensee has requested the right to enter onto the Motel 6 Property in order to <br /> drill, complete and maintain one (1) groundwater monitoring well(s) and/or drill and remove <br /> samples of soil and/or groundwater at one (1) location on the Motel 6 Property and to perform such <br /> i <br /> other activities reasonably necessary in connection with the preparation of the Assessment (the <br /> I <br /> "Work"); and <br /> WHEREAS, Licensee agrees to indemnify and hold Licensor harmless from any expense or <br /> i <br /> liability whatsoever resulting from or related to the performance of the Work or the Assessment. <br /> NOW, THEREFORE, for good and valuable consideration, the receipt and sufficiency of <br /> which is hereby acknowledged, Licensor and Licensee agree as follows: <br /> i <br /> 1. Right of Entry. Licensor hereby grants to Licensee the right to enter onto the Motel 6 <br /> Property for the purpose of performing the Work. The Work shall be conducted within the confines <br /> i <br /> of an area designated by Licensor. Prior to commencement of the Work, Licensee shall provide to <br /> Licensor a drawing of the Motel 6 Property depicting the exact location at which Licensee proposes <br /> I <br /> to perform the Work (the "Drawing"), together with a description of all Work Licensee intends to <br /> 1 <br />
