G. Unocal has engaged the firm of Pacific Environmental Group, Inc. ("PEG") to prepare the wor3. plan required by EHD and undertake. the tasks described therein. A copy of PEG's Work Plan dated as of October 6, 1994 ("Work Plan") , which Unocal- submitted- to EHD, is attached hereto as Exhibit BI. H. Wells Fargo has reviewed the' Work Plan and has requested certain specifications for and additions to the tasks . set forth . .... ... in the Work Plan ("Additional Work") as set forth on Exhibit C attached hereto. (The tasks set forth on the Work Plan, the Additional Work .and any and all other work performed by or on behalf of Unocal in connection therewith are referred to herein as the "Work" . ) I. Unocal is willing to perform the Work, and Wells Fargo is willing to grant Unocal access to the Property to perform the Work, all on the terms and conditions set forth herein. A G R E E M E N T NOW THEREFORE, in consideration of the mutual covenants of . the parties contained herein and other good and valuable consideration the-. sufficiency and receipt of which each party _ . hereby acknowledges, Unocal and Wells Fargo hereby agree. as 'follows: 1 The Work. Unocal hereby agrees to cause the Work to be performed at its sole cost and expense. Unocal shall engage PEG ,to perform the Work. PEG may subcontract such portion of the Work-as -it deems necessary or desirable, but Unocal shall be responsible for. the. performance of the Work. 1. 1 Time of Completion. Unocal shall use its best efforts to obtain EHD's approval: of the Work Plan within fourteen (14) days of the date hereof. Within five (5) days following the date hereof., Unocal .,shall apply for and thereafter shall use its best efforts to obtain such permits as may be required in connection .with the Work. The Work shall commence Immediately upon such approval and shall be completed at. the Property not more than thirty (30) days following the date of. 'this Agreement. PEG's final report shall be completed and delivered to Unocal and Wells Fargo not more than thirty (30) days foill.owi.ng completion of the Work at the Property. _ i 1.2 Permits and Performance of th Work. In carrying out the Work, Unocal shall obtain, at its 0{ n expense and prior to any access to the Property by Unocal, all. permits of whatever nature from any and all government agencies necessary for conducting the Work.
