. a including without limitation PEG, and the conduct of -the Work, and (b) any and all third-party demands, claims and actions for personal injury, -death or damage to property -against-..-Indemnitees, and from and against any and all liabilities, expenses, and costs which Indemnitees may sustain or incur, arising out "of the presence of the Contamination or any otI �her Hazardous Substances on, at, in, beneath or around the Property; provided, however, that such Contamination or Hazardous S6bstances must have originated from the operation, maintenance, or removal of the USTs and/or the Equipment or have been connected in some way with the Station. Wells Fargo shall notify Unocal writing within thirty (30) days after obtaining .actual knowledge of any Claim for which Wells Fargo seeks indemnification under this Agreement. The notification. shall include reasonable details of the nature of the demand. Notices given after the expiration of the 30-day period will be deemed timely unless Unocalls ability to defend against the Claim is substantially adversely affected by any delay (within Wells .Fargo's reasonable control) in providing such notification. The provisions of this Section 6 shall survive until Unocal has completed all appropriate remediation actions as required by all governmental authorities. having .jurisdiction over the contamination as evidenced by a . "closure letter" from the appropriate governmental authority: 6.1 For purposes of this .Section 6, the termi` "Hazardous Substances" shall mean asbestos, petroleum products and by-products, and any pollutant, contaminant, chemical; material or substance defined as hazardous or as a pollutant or a .contaminant in, or the release or disposal of which is regulated by, any Environmental Law. The term "Environmental Law" shall mean= any federal, state, county, municipal, local or other = statute, ordinance or regulation which relates to or deals with human health or the environment, including., without limitation, all regulations promulgatedby a regulatory body pursuant to any- such statute, .ordinance, or regulation 7 Unocal's Obligation to Remediate Contamination. Zf ..EHD or any other governmental authority requires Unocal to conduct additional investigation, monitoring or remediation in addition to the Work, Unocal shall enter into an agreement with Wells Fargo whereby Unocal at its sole cost and expense will perform all environmental testing, reporting, remediation of the Contamination (including without limitation removal of any remaining USTs from the Property) and monitoring (the "Corrective Work") , obtain the written acknowledgement of EHD and any other governmental authority having jurisdiction that the Corrective Work is complete and no further action is required with respect to the Contamination, and indemnify Wells Fargo for all damages and liabilities sustained- by Wells Fargo as a result thereof.
