LICENSE AGREEMENT This agreement is made effective January 16, 1990, between Texaco Refining and Marketing Inc. (TRMI) and Atlantic Richfield Company (licensor) , collectively referred to herein as the Parties. Whereas, Atlantic Richfield Company (ARCO) is the trustee of the premises commonly known as AM/PM Mini Market and more particularly described as follows: 441 West Charter Way Stockton, California Whereas, TRMI now desires to enter the Subject Premises for the sole purpose of testing, sampling, monitoring, and treating, as TRMI may deem necessary, the underground tanks and soil and/or groundwater on, in, or under the Subject Premises. Now, therefore, the Parties agree as follows: 1. Grant of License: Licensor hereby grants a non-exclusive license for 5 years from the date January 16, 1990, TRMI, employees, agents and contractors to enter the Subject Property to perform all test, inspections, borings, engineering studies, surveys, appraisals, operations, and activities that TRMI, in its sole discretion, shall deem necessary. Upon expiration of the term of this License, the License may be renewed by written agreement of the Parties. 2 . Mutual Cooperation: TRMI agrees to coordinate its activities with Licensor to minimize any inconvenience to, or interruption of, the conduct of Licensor' s business on the Subject Premises. Licensor agrees to cooperate fully, with, and not to interfere with, the activities conducted by TRMI on the Subject Premises. Further, the Parties agree to cooperate and execute any additional documents or permit applications which may reasonably be required to effectuate the purpose of this Agreement. 3 . Permits: TRMI, at no expense to Licensor, shall obtain any and all permits which may be required for any activities it desires to conduct under the License granted herein. -'� GROUND6:4TER TECHNOLOGY,INC.
