LICENSE AGREEMENT <br /> Page 4 <br /> 4 . Execution of Agreement: Each of the undersigned hereby <br /> represents and warrants that it is authorized to execute <br /> this Agreement on behalf of the respective Parties to the <br /> Agreement and that this Agreement, when executed by those <br /> Parties, shall become valid and binding obligations, <br /> enforceable in accordance with its terms. <br /> 5. Assignment, Successor, and Assigns: This Agreement <br /> cannot be assigned by either Party without prior written <br /> consent of the other, which consent shall not be <br /> unreasonably withheld. This Agreement shall be binding <br /> as to the Parties ' respective representatives, succes- <br /> sors, and assigns. <br /> 6. Indemnity: Except as otherwise provided, TRMI agrees that <br /> it will indemnify and hold harmless Licensor from and <br /> against any loss, damage, cost, or expense incurred as <br /> a result of personal injury or property damage proxi- <br /> mately caused by the negligence of TRMI or its authorized <br /> agents in conducting its activities under this License <br /> Agreement. The Parties agree that the terms of this <br /> paragraph shall not apply to loss of business or economic <br /> disadvantage which Licensor otherwise may claim as a <br /> result of TRMI ' s or its authorized agent activities on <br /> the Subject Premises. <br /> TEXACO REFINING AND MARKETING INC.
