\MA: <br /> 31.11 Within ten (10) days after request by Landlord or Tenant, Landlord <br /> or Tenant shall execute and deliver to the other an estoppel statement. Such <br /> statement shall include representations (i) that this Lease is in full force <br /> and effect, (ii) that there are no uncured defaults in Tenant's or Landlord's <br /> performance hereunder, as the case .may be (or specifying the nature of any <br /> default), and (iii) that not more than one monthly installment of the minimum <br /> annual rental has been paid in advance. i <br /> 31.12 Landlord shall promptly notify Tenant in writing of any change in �t <br /> the ownership of the Premises, and shall give the name 'and address of the new <br /> owner and instructions regarding the payment of rent. In the event of any <br /> change in or transfer of title of Landlord in and. to the Premises, whether <br /> voluntary of involuntary, or by act of Landlord or by operation of law, Tenant' <br /> shall be under no obligation to pay rents thereafter accruing until Tenant <br /> shall have been duly notified of such change and given satisfactory proof <br /> thereof, and the withholding of rents in the meantime until so satisfied shall <br /> not be deemed a default upon the part of the Tenant. I.n the event of any such <br /> transfer the transferor shall be freed of all liability thereafter accuring <br /> hereunder provided the new landlord shall assume in recordable form, delivered <br /> to Tenant, all of the obligations on Landlord's part to be performed hereunder. <br /> 31.13 The parties hereto agree that neither shall record this Lease. but <br /> each shall execute the Memorandum of Lease attached hereto as Exhibit "E", and <br /> the same may be recorded. <br /> 31.14 All of the agreements heretofore and contemporaneously made by the <br /> parties are contained in this Lease, and this Lease cannot be modified in any <br /> respect except by a writing executed by'.Landlord and Tenant. <br /> 31.15 This lease is subject to the prior written consent of an officer of <br /> Jiffy Lube International, Inc. prior to becoming effective. <br /> 32.
