r13 1 E101 <br /> 3.1 The term of this Lease shall be of the duration set forth in Article <br /> 1 hereof and shall commence ("Commencement Date") on the earlier of the <br /> followiny: <br /> (a) the date Tenant opens for business in the Premises; or <br /> (b) The date which is sixty (60) days subsequent to the Cate <br /> Landlord's architect certifies to Tenant in writing that the Premises have <br /> been substantially completed with respect to Landlord's obligations therefor <br /> pursuant to the provisions of Exhibit "C", attached hereto and incorporated <br /> herein by this reference, and a certificate of occupancy has been issued by <br /> the authority which issued the building permit. <br /> 3.2 Tenant is hereby granted the option(s) to extend the Initial Term of <br /> this Lease as set forth in Article 1 hereof, by giving to Landlord written <br /> notice of its exercise of each such option at least ninety (90) days before <br /> the expiration of the Initial Term or preceding extended period, as the case <br /> may, be. The extended period(s) shall be upon the same terms, covenants, <br /> conditions, provisions ano agreements applicable to the Initial Term except <br /> that Tennant shall pay to Landlord the minimum annual rent during such <br /> extended periods) as set forth in Article 1. <br /> 3.3 Tenant shall have the right, without an obligation to pay rent or <br /> other charges, to eater the Premises while Landlord's Work is in progress, in <br /> order to inspect the Premises, to make such improvements as Tenant shall have <br /> the riyht to make, to install fixtures, . supplies, merchandise and other <br /> property. Tenant agrees that it shall riot unreasonably interfere with the <br /> progress of Landlord's Work by such entry. No such entry by Tenant shall be <br /> deemed an acceptance of the Premises. Tenant's early occupancy of the <br /> Premises shall not constitute acceptance thereof. <br /> 4. RENTAL <br /> 4.1 Tenant covenants and agrees to pay the minimum annual rent set forth <br /> in Article 1 hereof, in twelve (12) equal monthly installments, in advance, on <br /> the first day of each calendar month during each year of the term of this <br /> Lease. if the Commencement Date of the term hereof occurs on a day other than <br /> the first day of the month, then the minimum annual rent for the month during <br /> which said expiration occurs shall be prorated on the basis of the actual <br /> number of days in said month. <br /> 5. USE OF PREMISES <br /> 5.1 The Premises may be used for an automobile service center or for any <br /> other lawful purpose. <br /> 6. REMODEL OF PREMISES <br /> 6.1 (a) Tenant agrees to remodel the building together with driveways <br /> and parking areas (the "Building") on the Premises substantially in accordance <br /> with mutually-approved Specs submitted to Landlord by Tenant. Detailed <br /> specifications for the building will be approved and initialed by the parties <br /> concurrently with the execution of the remodel contract . The remodel of the <br /> building shall be performed at Tenant's expense, with the exception of general <br /> site aria building trash removal, clean-up an6 general interior and exterior <br /> painting to meet Jiffy Lube International, Inc. standards (see Exhibit I%..). <br /> Landlord shall make any dedications or grant any easements necessary to obtain <br /> all necessary governmental approvals of the Premises during the term of this <br /> Lease. <br /> (b) the remodel cost upon which the rental is based shall include <br /> the usual and ordinary costs of construction as designated by the Plans and <br /> Specifications within the limits of construction, as set forth in Exhibit "C" <br /> attached hereto, including but not limited to labor and materials; paving for <br /> the parking areas and driveways; lot lighting and striping; landscaping and <br /> sprinklers where required by local building codes; engineering for: grading <br /> plans and coordinating project with governmental authorities; cost for <br /> construction supervision; cost for Plans and Specifications; architect's fees; <br /> contractor's bond; charges for city and other governmental permits. <br /> -2- <br />
