maintained in good condition and repair. Permittee's Contractors shall use commercially <br /> reasonable efforts to locate any underground water, telephone, electric, sewer, plumbing, <br /> gas and other utility lines and other apparatus underneath the Property (collectively, <br /> "Underground Apparatus"), and shall be performed so as to minimize any disturbance of <br /> the operations of the Property Owner and its contractors and other tenants and occupants <br /> at the Property and to damage, disturb or interfere with Underground Apparatus. <br /> Permittee's Contractors shall be liable for any damage to Underground Apparatus caused <br /> by Permittee's Contractors. <br /> 9. Permittee's Contractors shall take all precautions to minimize damage to the Property <br /> from the Work. Permittee will restore the Property ("Restoration") to as close to its <br /> condition existing at the time the Work began as possible, including, but not limited to, <br /> repairing holes where all borings have taken at the Property caused by Permittee's <br /> Contractors. Permittee's Contractors will repair or replace any damage to the Property, <br /> which is caused by Permittee's Contractors's negligence or willful misconduct in the <br /> performance of the Work as soon as is commercially practicable after receiving notice of <br /> such damage. Permittee shall be solely responsible for any cross-contamination, <br /> migration, or release of any hazardous substances caused by the Work, and shall <br /> indemnify, defend and hold harmless Property Owner for all resulting Claims, costs and <br /> damages,under Article 12 below. <br /> 10. Permittee's Contractors shall release Property Owner for loss of or damage to property <br /> and equipment of Permittee's Contractors while such property or equipment is in or on <br /> the Property, except where such loss of or damage to property or equipment results from <br /> Property Owner's intentional or willful misconduct. <br /> 11. In Articles 9 and 12 only, "Claims" shall mean "claims, suits, orders, arbitration, <br /> demands and causes of actions as well as judgments, obligations, orders and damages <br /> arising therefrom, asserted by any person for personal injury or death or for loss of or <br /> damage to property." <br /> 12. Except as is otherwise provided in this Agreement,Permittee shall indemnify,defend and <br /> hold harmless Property Owner (including reasonable attorneys' fees and costs), its <br /> employees and agents ("Property Owner Indemnitees") for Claims (including attorney <br /> fees and costs) which are asserted against Property Owner Indemnitees, which arise from <br /> Permittee's, or Permittee's Contractor's, negligence or willful misconduct in the <br /> performance of the Work, and which Claims are not otherwise covered as an insurable <br /> claim under the Policies. <br /> 13. Permittee recognizes that the building at the Property wherein a portion of the Work is to <br /> take place is very old and is in varying states of disrepair, to the extent that it is the <br /> subject of a Notice of Abatement by Demolition by the City of Stockton. Property <br /> Owner makes no warranties as to the structural integrity of the Property and any of its <br /> buildings, and Permitee and Permittee's Contractors knowingly assume all risks in that <br /> regard, and Permittee agrees to indemnify and hold harmless Property Owner <br /> Indemnitees for any and all hazards that may be encountered by Permitee and Permittee's <br /> sf-2949921 <br />
