On December 27, 2012, GEORGE KENT GIBSON, as Trustor, and JAMES ACOSTA, as Trustee, signed a "frust Agreement which established an irrevocable trust known as LOCARNO GUILD ("the Trust"). 2. This Certificate is intended to serve as a "Certification of Trust" under California Probate Code section 18100.5, as amended. Its purpose is to certify the existence of the trust, the identity and powers of the Trustees, the manner of taking title to assets, and to summarize some of the more important provisions of the Trust so that the Trustees can deal with third parties, such as financial institutions, stock transfer agents, brokerage houses, title companies, insurance companies, and others, without disclosing the entire Trust, which is a private and confidential document. 3. All third parties dealing with the Trustee may rely on this Certificate of Trust as a true statement of the provisions of the Trust described herein. Any third party who makes demand for a document other than this Certificate of"frust to prove the facts set forth herein shall be held liable for damages, including attorneys' fees, incurred as a result of such party's failure to accept this Certificate of Trust unless a court of competent jurisdiction determines that the third party believed in good faith that this Certificate of Trust was incorrect. 4. The Trust is not of record in any court of law and has not been recorded in the real property records of any county. 5. The Trust is irrevocable and may not be amended or revoked by any person. 6. The Trust beneficiaries are the Trustor's spouse, CHERIE ALYCE GIBSON and Trustor's children, PETER GEORGE GIBSON and JOHN LOUIS GIBSON, 7. Title to assets of the Trust should be taken in substantially the following form: JAMES ACOSTA, Trustee of LOCARNO GUILD, under Trust Agreement ` dated December S' , 2012."
