proxies, and to pay calls or assessments; (b) participate in voting trusts, pooling agreements, <br /> reorganizations, consolidations, mergers, and liquidations; (c) deposit securities with and transfer <br /> title to any protective or other committee under such terms as the Trustee may deem advisable; <br /> (d) exercise or sell stock options, stock subscription or conversion rights; (e) accept and retain as <br /> an investment any securities or other property received through the exercise of any of the <br /> foregoing powers; and (f) hold a security in the name of a nominee or in other form without <br /> disclosing the trust so that title may pass by delivery. <br /> J.5. Common Investments. For purposes of convenience with regard to the <br /> administration and investment of the Trust property, the Trustee may invest part or all of the <br /> Trust property jointly with Trust property of other trusts for which the Trustee is also serving as <br /> a Trustee. For this purpose, a corporate fiduciary acting as the Trustee may use common funds <br /> for investment. <br /> When Trust property is managed and invested in this manner, the Trustee shall <br /> maintain records that sufficiently identify that portion of the jointly invested assets that constitute <br /> the Trust property of this "frust. <br /> J.6. Nominee Powers. The Trustee may hold real estate, securities and any <br /> other Trust property in the name of a nominee or in any other form without disclosing the <br /> existence of any trust or fiduciary capacity. <br /> J.7. Sell, Exchange, Lease, Etc. The Trustee may, without court approval: (a) <br /> sell, exchange, or liquidate any trust real or personal property, for cash or on terms, at public or <br /> private sale; (b) lease trust property or contract for terms within or beyond the term of the Trust <br /> and for any purpose; (c) abandon any Trust property or interest therein; (d) grant an option <br /> involving disposition of any Trust property and take or purchase an option for the acquisition of <br /> any asset; (e) partition, divide, subdivide, assign, develop, and improve any trust Property; (f) <br /> adjust boundaries and create easements and servitudes; and (g) dedicate land or easements to <br /> public use with or without consideration. Notwithstanding the foregoing, if a beneficiary is <br /> residing in residential real property held in such beneficiary's trust, then the Trustee's powers <br /> under this paragraph J.7 are hereby restricted such that the Trustee shall not have the power to <br /> sell, exchange, or liquidate any such residential real property without first obtaining the consent <br /> of such beneficiary. <br /> J.8. Manage, Improve, Repair, Etc. The Trustee has the power to manage, <br /> control, improve, remodel, and repair any Trust property, and to remove, demolish, or otherwise <br /> dispose of any improvements to Trust real property. <br /> J.9. Pay Taxes and Expenses. The Trustee has the power to pay taxes, <br /> assessments, and all other reasonable expenses incurred in connection with Trust property or in <br /> administering the Trust. <br /> J.10. Sign Instruments. The Trustee has the power to execute and deliver all <br /> instruments which are needed to accomplish or facilitate the exercise of the powers granted to <br /> the"Trustee. <br /> 4 <br />
