Upon thirty days' prior request by Grantline, Chevron will require its <br /> contractors to provide evidence of general liability, workers' compensation, and motor vehicle <br /> liability insurance, including the single and aggregate limits of liability for each type of coverage <br /> for the consultants. <br /> 12. Chevron shall indemnify, defend and hold harmless Grantline and its <br /> officers, directors, shareholders, partners, employees and agents (collectively the "Grantline <br /> Parties") from and against all claims, causes of action, liabilities, damages, losses, and expenses, <br /> including reasonable attorneys' fees and costs (collectively, "losses"), arising out of any personal <br /> injury or death, property damage, or pollution or contamination, including, but not limited to, any <br /> diminution in value, repairs, investigations, removal and remedial actions, government penalties, <br /> or other expenses arising out of or resulting from Permittees' work or the investigations, except <br /> �I <br /> and,to the extent such losses were caused by the negligence.or fault of the Grantline Parties. <br /> 13. This Agreement shall be governed by and construed in accordance with the <br /> laws of the State of California. <br /> 14. The rights, duties and obligations set forth in this Agreement shall be <br /> assigned by Permittees and/or Grantline. <br /> 15. Grantline may terminate this Agreement for cause, based upon any <br /> violation of its terms by Permittees. This termination shall be effective immediately upon <br /> telephone and/or facsimile notice by Grantline to Chevron. Grantline may otherwise terminate <br /> this Agreement with or without cause, and in its sole discretion, upon one week's advance notice <br /> to Chevron by facsimile or letter. <br /> -5- <br />
