1.119 "SFFB Holdings Common Stock" means 100%of the common stock of SFFB Holdings,held on the Petition Date <br /> by SFC-NH. <br /> 1.120 "SFFC" means Specialty Foods Finance Corporation.a Delaware corporation. . <br /> 1.121 "Specialty Bread Business" means the Debtors'specialty bread and cafe business,operated principally through <br /> SFFB Holdings and its subsidiaries. <br /> 1.122 "Specialty Bread Business Net Proceeds" means the aggregate cash consideration received by the Debtors in a <br /> Specialty Bread Business Transaction,net of any expenses and retained liabilities, if any,related to a Specialty Bread <br /> Business Transaction. <br /> 1.123 "Specialty Bread Business Operating Funds" means the lesser of(a)the amount of working capital necessary for <br /> the Specialty Bread Business's continued operations on and after the Effective Date,and(b)either(i)$500.000,if the <br /> Effective Date occurs on or before November 30.2000,or(ii)$250,000, if the Effective Date occurs after November 30. <br /> 2000,except that if a Specialty Bread Transaction occurs on or before the Effective Date,"Specialty Bread Business <br /> Operating Funds"shall mean zero. <br /> 1.124 "Specialty Bread Business Value"means the value of the Specialty Bread Business,as determined by the <br /> Bankruptcy Court. <br /> 1.125 "Specialty Bread Business Transaction" means a disposition by the Debtors or the Disbursing Agent of the <br /> Specialty Bread Business, by sale,merger,or otherwise. <br /> 1.126 "Stella Foods Litigation" means that action styled Cacique v. Stella Foods,et al.,Case No. B 115417,in the. <br /> Superior Court of the State of California,Alameda County. <br /> 1.127 "Stella Foods Litigation Recovery" means any recovery by any of the Debtors on account of payments made in <br /> connection with the settlement of the Stella Foods Litigation,including insurance proceeds. <br /> 1.128 "Subclass 5B Interest Claim" means the Claim of a holder of 131/.%Subordinated Notes for all accrued and unpaid <br /> interest on its 131/4%Subordinated Notes at the applicable nondefault rate,including Postpetition Interest. <br /> 1.129 "Subclass 5B Principal Claim" means the Claim of a holder of 131/sob Subordinated Notes for the outstanding <br /> principal amount of its 131/.%Subordinated Notes. <br /> 1.130 "Subordination-Related Rights" shall have the meaning ascribed to such term in Article XII Section B of the Plan. <br /> 1.131 "Subsidiaries" means,collectively,the direct and indirect subsidiaries of SFAC. <br /> 1.132 "Subsidiary Debtor" means any of SFC.SFC Sub,SFAC-NH.SFFC,SFC-SPV,SFC-NH,and GWI,and <br /> "Subsidiary Debtors"means all of them collectively. <br /> 1.133 "Substantial Contribution Claim" means a Claim, under section 503(b)(3),(4),or(5)of the Bankruptcy Code, for <br /> compensation or reimbursement of expenses incurred in making a substantial contribution in the Chapter 11 Case. <br /> 1.134 "13% Discount Debenture Claim" means a Claim of a holder of 13%Discount Debentures,arising under or as a <br /> result of the 13%Discount Debentures,including any rights related to the 13% Discount Debenture Collateral and the 13% <br /> Discount Debenture Stock Interests. <br /> 1.135 "13%Discount Debenture Collateral" means 100%of the Old SFC-NH Common Stock,other than the 13% <br /> Discount Debenture Stock Interests,and 100%of the Old SFC-NH Preferred Stock. <br /> 1.136 "13%Discount Debenture Indenture" means the indenture,dated June 11, 1999,between SFAC-NH and United <br /> States Trust Company of New York,as trustee, under which the 13%Discount Debentures were issued. <br /> PLAN-8 <br />
