Access Agreement <br /> required to drill each soil boring will be approximately 30 feet by 30 feet, which will be <br /> cordoned off with caution tape during drilling to inhibit access by unauthorized personnel.The <br /> Field Activities will take approximately four evenings to complete.Before beginning work,the <br /> Permittee will have an underground utility locator check the proposed drilling locations for <br /> underground piping and other obstructions.The Permittee will also notify Underground Service <br /> Alert, as required by California state law. The Permittee will be obtaining appropriate permits <br /> from the San Joaquin County Public Health Services' Environmental Health Division for this <br /> work. After the work has been completed, the soil boring hole (approximately 3 inches in <br /> diameter) will be properly grouted according to county regulations. The asphalt surface <br /> surrounding the soil boring location will be restored the same day. <br /> 6. Commencement, Duration, and Termination This Agreement shall become valid and <br /> enforceable upon signing by the Property Owner and shall extend for a term not to exceed 120 <br /> calendar days, from the date of the Property Owner's execution of this Agreement. The <br /> Permittee will give 7(seven)days notice to Property Owner prior to the commencement of any <br /> Field Activities under this Agreement. <br /> 7. Insurance. The Permittee,shall maintain during the life of this Agreement insurance coverage <br /> with limits set forth in Attachment`B"hereto, Certificate of Liability Insurance. <br /> 8. Indemnity. The Permittee, at its sole expense, will hold harmless, defend and indemnify <br /> Property Owner against any and all loss, claims, demands, lawsuits, administrative claims, <br /> judgments, and/or claims brought by any and all regulatory and/or governmental agencies, <br /> and/or any third party,and/or any employee,agent,contractor or subcontractor of the Permittee, <br /> arising out of or in any way related to this Agreement, to the extent Permittee is responsible, <br /> including without limitation, the Field Activities on the Subject Property conducted by the <br /> Permittee and/or its subcontractor and/or agents and/or employees, regardless of the merits of <br /> the claim or demand. Property Owner will advise the Permittee of any such claim within 30 <br /> days of the presentation of such a claim as described above to Property Owner. Property Owner <br /> shall not reject any counsel obtained by the Permittee on behalf of Property Owner through the <br /> Penmittee's insurance carrier without good cause and with the consent of said insurance carrier. <br /> 9. Successors and Assigns. This Agreement shall be binding upon the heirs,beneficiaries and/or <br /> successors of the Penmittee and Property Owner, and the terns of this Agreement will be <br /> enforceable against any successor or other subsequent interest holder to the Permittee or <br /> Property Owner. <br /> 10. Release. The Permittee shall release and hold Property Owner harmless for loss of or damage to <br /> property and equipment of the Permittee or its environmental consultant,while such property or <br /> equipment is in or on the Subject Property, except where such loss or damage to property and <br /> equipment results from Property Owner's negligence or willful misconduct. <br />
