ENVIRONMENTAL SERVICES TERMS AND CONDITIONS ATTACHMENT B Client and GROUND ZERO ANALYSIS, INC. (GZA) agree that the following terms and conditions shall be a part of the Work Authorization Agreement (Agreement), dated December 3, 1996, between Client and GZA: 1. Scope of Work: A. GZA shall furnish the labor, material, equipment and services ("Work") set forth in the Agreement. The scope of work (and related plans and specifications) may not be modified or amended, unless the changes are first agreed to in writing by Client and GZA. The parties shall adjust compensation to GZA to reflect such changes in the Work. B. Work must commence within 60 days of an executed contract. In the event Work is commenced after 60 days of an executed contract, GZA reserves the right to adjust cost estimates provided in GZA's proposal/quotation. 2. Compensation and Terms of Payment: A. As compensation for all work performed and/or material/equipment provided by GZA, Client shall pay GZA in accordance with the Agreement. Prior to the commencment of work Client shall tender to GZA the amount of seven thousand dollars ($7,000) as a deposit or retainer for work to be performed. B. GZA shall submit invoices for services/material/equipment on a monthly basis. The net amount shall be due and payable upon receipt of the invoice. After 30 days, interest of 1.5 percent per month will accrue on the unpaid balance. Client hereby agrees that the balance as stated on the invoice from GZA to Client shall be conclusive and binding on Client unless Client, within 10 days of receipt of invoice, notifies GZA in writing of the particular item(s) that is/are alleged to be incorrect. C. Client shall also reimburse GZA for travel, subsistence, services of special consultants, computer costs, and other out-of-pocket expenses incurred as part of performing the Work.
