In the event of a breach by Client of any provision hereof, which remains uncured for thirty (30) days after notice to client of such breach, GZA shall have the right in addition to all other available rights and remedies, to terminate or suspend performance under this Agreement. In the event of any such termination or suspension, Client shall comply with the requirements of Section 2(d) of this Agreement. 8. Confidentiality: Client and GZA shall take every necessary precaution to maintain confidentiality with regard to the performance of their obligations under the Agreement. Without limiting the generality of the foregoing, Client and GZA shall not, except to the extent required to perform the work, disclose or permit the disclosure of any information (including any proposal and/or technical approach) or other matter used or arising in the performance of the work, without in each instance securing the prior written consent of the other Ply• 9. Independent Contractor: GZA is, and shall perform this Agreement as, an independent contractor and shall have and maintain complete control over its employees, agents and operations. Neither GZA nor anyone employed by it shall be, represent, act, purport, or be deemed to be the agent, representative, employee or servant of Client. 10. Records and Sample Retention: Records, reports and other pertinent documents shall be retained by GZA for at least one (1) year. All samples and specimen will be discarded or appropriately disposed of thirty (30) days after submission of GZA's report to Client, unless longer retention is required by a regulatory agency or other arrangements are previously made and agreed to by Client and GZA. 11. Interpretation of Agreement: The validity, interpretation, and performance of this Agreement shall be governed and construed in accordance with the laws of the State of California.
