Page 5 <br /> 12. Severability: <br /> Should any provision of this Agreement subsequently be determined to be illegal or <br /> unenforceable, any such provision shall at that time be deemed omitted from this <br /> Agreement, and all other provisions shall be unaffected and shall continue in full force <br /> and effect. <br /> 13. Section Headings: <br /> Section Headings and enumeration used herein are for convenience only and shall not be <br /> deemed to add to or detract from or otherwise modify the meaning of the sections. <br /> 14. Modifications: <br /> These terms and conditions, the Agreement (including its attachments, plans, and <br /> specifications) constitute the full and complete agreement of the parties and may only be <br /> amended, added to, suspended, or waived in a writing signed by both parties. <br /> 15. Litigation: <br /> If any legal action or any arbitration of other proceeding is brought for the enforcement <br /> of this Agreement, or because of an alleged dispute, breach, default or misrepresentation <br /> in connection with these terms and conditions or the Agreement, the successful or <br /> prevailing party shall be entitled to recover reasonable attorney's fees and other costs and <br /> expenses incurred in that action or proceeding. <br /> 16. Enforcement of Rights: <br /> Failure of either party to enforce any of its rights hereunder shall not constitute a waiver <br /> of such rights, or any other hereunder. <br /> 17. Successors and Assigns: <br /> Client and GZA bind themselves, their partners, successors, executors, administrators, <br /> and assigns to all the terms and conditions of the Agreement. <br /> 18. Assignment: <br /> Neither Client nor GZA shall assign its interest in this Agreement without the prior <br /> written consent of the other party. <br />
