Page 3 <br /> 5. Insurance: <br /> GZA shall procure and maintain, at its expense, during the term of this Agreement, <br /> insurance, including policies covering: Worker's Compensation; Automobile <br /> Liability; Commercial General Liability; and Professional Liability Insurance. <br /> 6. Site Conditions: <br /> A. Client shall cooperate with and shall provide GZA with all such information as <br /> shall be required to enable GZA to perform the work. Client warrants to GZA <br /> that if it knows or has reason to suspect that hazardous materials or conditions, <br /> underground utilities and installations or other subsurface obstructions may exist <br /> at any site where work is proposed or anticipated, it has so informed GZA in <br /> writing. <br /> B. Client shall be responsible for the adequacy, accuracy and sufficiency of its <br /> representations, designs, drawings, surveys, property lines or specifications made, <br /> or provided to GZA, either in documents or directions in the field. GZA will not <br /> be responsible for any damages or liabilities that result due to GZA's reliance on <br /> Client's representations or documentation. Any such damages may be repaired <br /> by GZA and billed to Client in accordance with GZA's established rates and <br /> billing practices. Payments made to GZA for such repairs are in addition to the <br /> fees due for the work. <br /> C. In the event any of the work is at Client's site or on premises under Client's <br /> control, Client shall grant or obtain access to the site for all necessary personnel <br /> and equipment <br /> D. GZA shall not be responsible for unanticipated and/or unforeseen site conditions, <br /> including subsurface utilities, piping, and facilities. In the event additional costs <br /> are incurred as a result of such unanticipated and/or unforeseen site conditions, <br /> Client shall pay all such costs. <br /> 7. Performance: <br /> A. GZA shall use its commercially reasonable best efforts in performing the work <br /> and completing the same in a timely manner. However, the time required for <br /> completion of services may vary due to conditions or events unknown to, <br /> unforeseeable by or beyond the control of GZA. GZA will not be responsible for <br /> any damages, consequential or otherwise, or delays caused by any circumstances <br /> beyond the control of GZA. <br />
