In the event of a breach by Client of any provision hereof, which remains <br /> uncured for thirty (30) days after notice to client of such breach, GZA shall have <br /> the right in addition to all other available rights and remedies, to terminate or <br /> suspend performance under this Agreement. In the event of any such termination <br /> or suspension, Client shall comply with the requirements of Section 2(d) of this <br /> Agreement. <br /> 8. Confidentiality: <br /> Client and GZA shall take every necessary precaution to maintain confidentiality with <br /> regard to the performance of their obligations under the Agreement. Without limiting <br /> the generality of the foregoing, Client and GZA shall not, except to the extent required <br /> to perform the work, disclose or permit the disclosure of any information (including any <br /> proposal and/or technical approach) or other matter used or arising in the performance <br /> of the work, without in each instance securing the prior written consent of the other <br /> Ply <br /> 9. Independent Contractor: <br /> GZA is, and shall perform this Agreement as, an independent contractor and shall have <br /> and maintain complete control over its employees, agents and operations. Neither GZA <br /> nor anyone employed by it shall be, represent, act, purport, or be deemed to be the <br /> agent, representative, employee or servant of Client. <br /> 10. Records and Sample Retention: <br /> Records, reports and other pertinent documents shall be retained by GZA for at least one <br /> (1) year. <br /> All samples and specimen will be discarded or appropriately disposed of thirty (30) days <br /> after submission of GZA's report to Client, unless longer retention is required by a <br /> regulatory agency or other arrangements are previously made and agreed to by Client and <br /> GZA. <br /> 11. Interpretation of Agreement: <br /> The validity, interpretation, and performance of this Agreement shall be governed and <br /> construed in accordance with the laws of the State of California. <br />
