` COMPASS GROUP,USA,Inc. <br /> PROPERTY ACCESS AGREEMENT <br /> F Compass Group USA, Inc. ("Compass Group") and/or its agents and contractors desire to enter <br /> onto the property of Lane Masters (the "Landowner") located at 1448 Shaw Road Stockton, California <br /> (the "Property") for the purpose of completing certain environmental investigation and/or remediation <br /> work requested and/or required by the San Joaquin County ,Environmental .Health Department <br /> (SJCEHD). The requested/required work, as generally described on Exhibit A attached hereto <br /> collectively, the "Work"), may include soil boring installation and soil sampling, monitoring well <br /> installation and groundwater sampling. <br /> In return for Landowner's agreement to provide Compass Group access to the Property in'order <br /> to complete the Work, Compass Group, hereby agrees to indemnify and hold harmless Landowner from <br /> and against any and all liabilities, claims, penalties and suits (including reasonable attorney's fees) <br /> which Landowner may hereafter incur or become responsible for as a result of death or bodily injuries <br /> to any person or destruction or damage to any property, if and to the extent caused by an act of Compass <br /> Group, its'employees, agents or, contractors in carrying out the Work; provided Landowner shall <br /> promptly notify Compass Group in writing of any such claim and provides. Compass Group the <br /> opportunity to defend same. Compass Group shall have the sole right to defend, settle, or compromise <br /> such claims. <br /> Landowner, in consideration,for the indemnification provided by Compass Group, agrees to <br /> allow access to Compass Group, its employees and contractors, at all reasonable times for the purpose <br /> of carrying out and completing the Work,far such.length of time as may be required for Compass Group <br /> to comply with SJCEHD directives or requests. <br /> Compass Group further agrees to (i) upon Landowner's written request, provide information <br /> and sampling data related to the Work; (ii) remove all debris and material generated as a result of the <br /> Work; and (iii) to the extent practical, return the portion of the Property disturbed in the Work to <br /> substantially the same condition it was in immediately prior to the beginning'of the Work, after the <br /> Work has been completed. <br /> Landowner: <br /> ` Date: � I <br /> By: <br /> Compass Group USA,Inc. <br /> By: <br /> r T" Date: D <br /> Richard J.Rossitch,Vice President and Assistant Secretary <br />
