Licensor with copies of any test results obtained from samples from the Subject <br /> Property which results can be supplied electronically. <br /> 8. Licensees agree to indemnify, defend and hold Licensor, and its officers, <br /> directors,members, employees, agents, insurers,representatives, successors, <br /> assigns, and tenants harmless from liabilities, losses, claims, demands, or orders <br /> arising out of the activities performed by Licensees' consultant, its employees, <br /> agents and contractors on the Subject Property. Licensees specifically agree to <br /> indemnify Licensor for any subsidence or damaged pavement caused by water <br /> intrusion at the location of the boring holes described in the Work Plan and <br /> related documents. Notwithstanding the foregoing, in order for this specific <br /> indemnity to apply,any alleged water intrusion at the location of the referenced <br /> boring holes must arise out of the activities performed by Licensees' consultant, <br /> its employees,agents and contractors on the Subject Property. <br /> 9. Prior to entering the Subject Property or conducting any work on the Subject <br /> Property, Licensees or their contractors shall provide to Licensor, an insurance <br /> certificate and endorsement demonstrating the following minimum coverage <br /> which shall remain in effect during any and all entries on the Subject Property and <br /> during the term of this License: general liability of not less than$1,000,000 per <br /> occurrence for bodily injury,personal injury and property damage, combined <br /> single limit and$1,000,000 aggregate limit; Workers Compensation coverage <br /> pursuant to state law. Said endorsement shall name Licensor as an additional <br /> insured. <br /> 5 293554.1 <br />
