Inc. <br /> Texaco Downstream Properties Inc. <br /> ("Licensees") <br /> c/o Robert C. Goodman, Esq. <br /> Ann M. Blessing, Esq. <br /> Rogers Joseph O'Donnell <br /> 311 California Street, 10`h Floor <br /> San Francisco, California 94104 <br /> (415)956-2828 <br /> A. Whereas, Licensor owns the real property located at the address commonly known as 525 <br /> West Weber Avenue, Stockton, California, and more specifically described as Assessor <br /> Parcel Number 137-260-15 ("Subject Property"). <br /> B. Whereas, the Subject Property is developed with a parking lot and open space serving a <br /> two building office complex located at 501 and 509 West Weber Avenue. <br /> C. Whereas, Licensor and Licensees previously entered into a license agreement dated June <br /> 21, 2004, a license agreement dated February 24, 2005, and a license agreement dated <br /> October 9, 2007 allowing, among other things, Licensor to install deep zone monitoring <br /> wells and other borings,to conduct periodic monitoring of those wells and groundwater <br /> 1 293554.1 <br />
