1 this Agreement. <br /> 2 SECTION 17 . RECORDS AND ACCOUNTS <br /> 3 City shall keep proper books and records which shall <br /> 4 incorporate general principles as promulgated by the American <br /> 5 Institute of Certified Public Accountants (AICPA) for enter- <br /> 6 prise accounting and shall comply with State and Federal Clean <br /> 7 Water Grant Program Regulations . Said books and records shall , <br /> 8 upon written request, be subject to inspection by any duly <br /> 9 authorized representative of the County. <br /> 10 City shall make an annual report of system operations and <br /> 11 of all receipts and disbursements and furnish ten copies to <br /> 12 County. Said books and accounts shall be audited annually in <br /> 13 accordance with AICPA audit guidelines by an independent cer- <br /> 14 tified public accountant. Ten copies of the report of said <br /> 15 accountant shall be forwarded to County. The expense of said <br /> 16 audit and report and all record keeping and accounting costs <br /> 17 shall be a cost of the Regional System operation. <br /> 18 SECTION 18. LIABILITIES AND LIMITATIONS OF PARTIES <br /> 19 City agrees to maintain and operate the Regional System in <br /> 20 a competent and diligent manner to the end that requirements <br /> 21 set by the California Regional Water Quality Control Board, <br /> 22 Central Valley Region and any other agency having jurisdiction <br /> 23 thereof be met. In the event of litigation concerning alleged <br /> 24 failure to meet performance requirements , City and County shall <br /> 25 cooperate in the defense. City shall assume liability for <br /> 26 costs of litigation, settlement of claim and of any penalty <br /> 27 unless it is determined by a court of law, arbitration, or <br /> 22 - <br /> CO COU"if, 1/ <br />
