6.2 Amendments Assignments. This Agreement may be amended, modified, or supplemented only by written instrument duly executed by each of the Parties. Douglas and any subsequent assignee may assign its rights and benefits hereunder any person or entity ("assignee's provided that the assignee assumes the duties and obligations imposed on Douglas by this Agreement. 6.3 Provisions Not Construed Against Drafting Party. This Agreement shall be deemed to have been drafted by all Parties and, in the event of a dispute,no party hereto shall be entitled to claim that any provision should be construed against any other party by reason of the fact that it was drafted by one particular party. 6.4 Govemine La . This Agreement shall be construed and interpreted in accordance with the laws of the State of California. 6.6 Notices. Prior to or simultaneous with any assignment or transfer of the Property by Michael Douglas or by assignee or transferee,the assignee or transferee shall as a precondition to receiving the benefit of the Covenant Not to Sue, execute a written instrument in the form attached hereto as Attachment C.2, which shall accompany each purchase to the Property. 6.6 Attachments. All attachments to this Agreement are incorporated herein by reference. 6.7 Counterparts. This Agreement may be executed in one or more counterparts, each of which shall be an original and all of which shall be one and the same instrument. 6.8 Authoritv. Each of the undersigned Parties hereby certifies and warrants that he or she is authorized to bind his or her agency or entity to the continuing obligations described herein, and that the foregoing is a full, true, and correct copy of this Agreement authorized by the Board in Resolution No. 98-_on 23 January 1998. IN WITNESS THEREOF, the Parties execute this Agreement as of the date set forth below.
