AGREEMENT <br />THIS AGREEMENT IS ENTERED INTO THIS DAY OF by <br />And between the CITY of (hereinafter called CITY) and 7-H TECHNICAL <br />SERVICES GROUP, INC., (hereinafter called 7-H), under the following <br />circumstances: <br />CITY owns and has control over a wastewater treatment plant, sewer collection <br />system and Effluent disposal facilities described in ATTACHMENT "A" (hereinafter <br />called FACILITY); <br />7-H is a corporation specializing in the business of supplying operation and <br />maintenance services for such a FACILITY. <br />The CITY desires the 7-H perform certain services for operating and maintaining the <br />facility; <br />NOW, THEREFORE, in consideration of the promises and terms contained herein, <br />the parties agree as follows: <br />ENGAGEMENT. <br />CITY hereby engages 7-H to provide the services set forth herein with respect to <br />FACILITY, which is owned and controlled by CITY. A description of the FACILITY unit <br />processes is hereby attached and incorporated by reference as (ATTACHMENT "A"). <br />TERM, RENEWAL, AND TERMINATION. <br />2.1 Term. The AGREEMENT shall commence on January 25th, 2000 ("Commencement <br />Date") and end January 24th, 2001 one (1) year thereafter unless renewed in <br />accordance with Section 2.2, or terminated in accordance with Section 2.3. <br />2.2 Renewal. The CITY may renew the Agreement for successive terms of one (1) year <br />each. If the CITY intends to renew the Agreement at the end of any term, it shall <br />notify 7-H at least ninety (90) days prior to the applicable termination date. The <br />Agreement terms shall then be negotiated for renewal for an additional one (1) year <br />term unless 7-H gives CITY written notice of election not to renew within thirty (30) <br />days after receipt of said notice to renew from the CITY. If no such renewal notice <br />is given by the CITY Director of Public Works, agreement shall terminate <br />automatically upon expiration. <br />2.3 Termination. If 7-H is in breach of this agreement, or if the CITY is its sole <br />discretion deem other methods more advantageous for the CITY to utilize to meet <br />the requirements for wastewater treatment, sewer collection, and effluent disposal <br />operations, the CITY may, at any time during the term of this agreement with thirty <br />7-H Technical Services Group Contract for Operation and Maintenance Services Page 1 of 12
