The amount to be paid to the Contractor or <br />Owner, as the case may, be shall survive termination of the Contract. <br />§14.3 SUSPENSION BY THE OWNER FOR CONVENIENCE <br />§14.3.2 ADD the following subparagraph: <br />.3 Loss revenue or loss profit, either actual or anticipated from work outside the <br />scope of this contract. <br />§14.4 TERMINATION BY THE OWNER FOR CONVENIENCE <br />§14.4.1 DELETE this paragraph in its entirety and SUBSTITUTE the following: <br />§14.4.1 The Owner may terminate the performance of Work under this contract in accordance <br />with this clause in whole, or from time to time in part, whenever the Owner shall <br />determine that such termination is in the best interest of the Owner. Any such <br />termination shall be effective by delivery to the Contractor of a Notice of Termination <br />specifying the extent to which performance of the Work under the Contract is terminated, <br />and the date upon which such termination becomes effective. After receipt of a Notice of <br />Termination, and except as otherwise directed by the Owner, the Contractor shall: <br />Stop work under the contract on the date and to the extent specified in the Notice <br />of Termination; <br />2 Place no further orders or subcontracts for materials, services or facilities except <br />as necessary to complete the portion of the Work under the contract which is not <br />terminated; <br />3 Terminate all orders or subcontracts to the extent that they relate to the <br />performance of the work terminated by the Notice of Termination; <br />.4 Assign to the Owner, in the manner and at the times, and to the extent directed <br />by the Owner, all of the rights, title and interest of the Contract under the orders <br />and subcontracts so terminated. The Owner shall have the right, in its discretion, <br />to settle or pay any or all claims arising out of the termination of such orders and <br />subcontractors. <br />5 Settle all outstanding liabilities and all claims arising out of such termination of <br />orders and subcontracts with the approval or ratification of the Owner, in writing, <br />and to the extent it may require. Its approval or ratification shall be final for all <br />the purposes of this clause; <br />6 Transfer title to the Owner, and deliver in the manner, at the times and extent, if <br />any directed by the Owner, (a) the fabricated and un -fabricated parts, Work in <br />process, completed Work, supplies and other material produced as part of or <br />acquired in connection with the performance of the Work terminated by the <br />Notice of Termination; and (b) the completed or partially completed drawings, <br />40 <br />
