The proposed affiliation <br /> requires approval of the California Attorney General, which is expected in April 2015. <br /> Once the Attorney General approves the affiliation, Adventist Health will assume control of the <br /> LMHA Corporation as the sole member of that corporation, probably around May 1, 2015. Note <br /> that, except for Adventist Health assuming control of the LMHA Corporation as the sole <br /> corporate member, this entity will remain unchanged as the operator of Lodi Memorial Hospital <br /> and its clinics and related businesses and facilities. The proposed affiliation is not a merger, <br /> sale, or change in ownership. <br /> I am writing on behalf of Adventist Health to ask for direction from your agency regarding any <br /> filings Adventist Health or the LMHA Corporation must make with your agency regarding <br /> licensing, notifications or other formal steps related to this change of control.
