RIGHT OF ENTRY PERMIT & MONITORING WELL AGREEMENT

<br /> This Right of Entry Permit and Mon�'toring Well Agreement, hereinafter referred to as"Agreement",
<br /> is made and entered into this ,�l0'day of_�2021, by and between the STATE OF
<br /> CALIFORNIA acting by and through the Director of the epartment of General Services ("DGS")
<br /> with the consent of the California Department of Corrections and Rehabilitation ("CDCR"),
<br /> hereinafter collectively referred to as("State'), and Forward, Inc., its officers, employees, agents,
<br /> contractors, subcontractors, consultants, sub-consultants and volunteers further referred to as
<br /> ("Permittee"). State and Permittee are from time to time referred to individually as "Party" and
<br /> collectively as "Parties".
<br /> As further described below, the State Public Works Board's ("SPWB") consent is required for this
<br /> agreement. The SPWB is not a party to this Agreement; however, Permittee acknowledges that
<br /> SPWB shall enjoy the same protections and rights enjoyed by, but not the responsibilities,
<br /> obligations, and liabilities of, the State under this Agreement.
<br /> WHEREAS, State is the owner, and CDCR enjoys control and possession, of that certain real
<br /> property in Stockton, California which houses the following program facilities, collectively referred
<br /> to herein as"Facilities":
<br /> • California Health Care Facility (°CHCF") located at 7707 Austin Road, Stockton, California,
<br /> County of San Joaquin, 95215;
<br /> • N.A. Chaderjian Youth Correctional Facility ("Chaderjian"), and
<br /> • O.H. Close Youth Correctional Facility("OH Close") located at 7650 South Newcastle Road,
<br /> Stockton, California, County of San Joaquin, 95215; and
<br /> WHEREAS, the Chaderjian and OH Close Facilities are youth detention facilities, collectively
<br /> referred to as the Northern California Youth Correctional Center("NCYCC"); and
<br /> WHEREAS, CDCR and the SPWB have entered into a site lease and facility lease, both dated
<br /> April 1, 2012, ("Site Lease" and "Facility Lease," respectively) to facilitate the issuance of SPWB
<br /> Lease Revenue Bonds, Series 2012 A, issued pursuant to an indenture supplemented by a One
<br /> Hundred Eighth Supplemental Indenture, dated April 1, 2012, ("Indenture," and collectively with
<br /> the Site Lease and Facility Lease, the "Series 2012 A Bond Documents') the proceeds of which
<br /> financed a portion of the costs of design and construction of the CHCF; and
<br /> WHEREAS, CDCR and the SPWB have entered into a site lease and facility lease, both dated
<br /> October 15, 2012, ("Site Lease" and "Facility Lease," respectively) to facilitate the issuance of
<br /> SPWB Lease Revenue Bonds, Series 2012 G, issued pursuant to an indenture supplemented by
<br /> a One Hundred Twelfth Supplemental Indenture, dated October 15, 2012, ("Indenture," and
