11 July 2007 <br />AGE -NC Project No. 03-1055 <br />Page 2 of 4 <br />OWNERSIIIP / SERVICE STATION USE TIME -LINE <br />The following is a brief history of the facility regarding the leasing history of the property as a <br />service station. <br />• 03 November 1955 (Recorder, Book 1805 Page 194): A lease between James J and Leona <br />Kelly and Tide Water Associated Oil Company for the property. defined by the Surveyors <br />Description as the "east side of Adams Street at I I" Street" in Tracy. The lease was for a <br />maximum of 20 years, noted that the Lessee had the right to operate a service station and that <br />the improvements were not part of the realty and must be removed at the completion of the <br />lease agreement. Item #8 notes that the lessee will hold the lessor and the premises from all <br />liens of every kind or character which might be levied in connection with the construction <br />or maintenance of any improvements to the property by the Lessee. <br />• 11 September 1956 (Recorder, Book 1900 Page 470): A lease between Lenders Investment <br />Corporation and Tide Water Associated Oil Company for the property, defined by the exact <br />Surveyors Description "east side of Adams Street at I I" Street" in Tracy that was provided <br />in the 1955 lease. This lease was referenced in a later 1966 lease agreement. The lease <br />included all buildings and improvements, which were owned by the lessor. Among the listed <br />property improvements were two underground tanks (U.G.), 7,500 -gallon and 5,000 -gallon <br />and one 250 -gallon tank (no further description). Item #10 (paraphrased) was an <br />Indemnification clause, which stated that the Lessee agreed to indemnify the Lessor from and <br />against any and all claims, demands and causes of action and any expenses incident to the <br />defense by the Lessor for loss or damage to the property that was connected with the Lessee's <br />use and occupation of the property. <br />• 15 July 1966 (Recorder, Book 3063 Page 232): An Assignment Agreement transferring the <br />lease (among a list of other leases) from Tidewater Oil Company to Phillips Petroleum <br />Company for the leasehold estates, interests, rights, titles and options created by the leases <br />listed in Exhibit A; Phillips Petroleum accepted the previous leases and agreed to be bound <br />by lease obligations. The subject property was listed in Exhibit A as "Adams Street and 1 I" <br />Street''. Tracy, with the two above-mentioned leases with .lames J Kelly and Lenders <br />Investment Company. <br />• 08 July 1971 (Recorder, Book 3551 Page 136): A Lease Termination between Lenders <br />Investment Corporation and Phillips Petroleum Company effective 14 August 1971 <br />(termination of the later 11 September 1956 lease). <br />• 1973 (First Assessor Valuation): COmmerc ial Property Appraisal Record for Parcel 233-130- <br />25: Appraisal records show "Phillips Station" pencilled on Page I and written remarks dated <br />30 May 1973 noting that a service station was on Parcel 25 and on Parcel 24.
