• 9. Recording Agreement <br /> Lodi Unified School District shall record a copy of this <br /> Agreement in the Official Records of San Joaquin County. Upon <br /> approval of a General Plan Amendment and rezoning for residential <br /> use of the property, the obligation to provide school facilities <br /> pursuant to Paragraph 2 of this Agreement shall constitute a lien on <br /> the title to the property described in Exhibit A, and subsequent <br /> subdivisions of same. Lodi Unified School District will execute <br /> appropriate releases upon fulfillment of the requirements of <br /> Paragraph 2, or if the property is approved for development to non- <br /> residential uses. <br /> 10. Complete Agreement <br /> This agreement superacids any and all agreements, either oral <br /> or in writing, between the parties with respect to the subject matter <br /> herein. Each party to this Agreement acknowledges that no <br /> representation by any party which is not embodied herein or any <br /> other agreement, statement or promise not contained in this <br /> Agreement shall be valid and binding. <br /> 11 . Attorney Fees <br /> In the event of any action or proceeding, including a reference <br /> pursuant to Section 638 et seq. of the Code of Civil Procedure, <br /> brought by any party against any other pursuant to this Agreement, <br /> the prevailing party shall be entitled to recover all costs and <br /> expenses, including the actual fees of its attorneys, incurred for <br /> prosecution defense, consultation or advice in such action or <br /> proceeding, not limited to but including costs of expert witnesses, <br /> attorney preparation, court reporting fees, etc. <br /> 12.
