A. If all of the above Provision 6 conditions have <br /> been met more than 30 days prior to said date , <br /> 'Buyer shall give notice thereof to Seller and <br /> Escrow. Escrow shall then have deed, as provided <br /> in Provision S.E. , executed in recordable form by <br /> Seller so closing may be effected. <br /> B. If all of Provision 6 conditions have not been met <br /> by said date, Buyer may postpone closing to a date <br /> not later than 30 days after all of said <br /> conditions have occurred. <br /> 8. If for any reason other than default of Buyer, closing <br /> does not occur, Buyer may cancel this agreement and Buyer ' s <br /> Escrow deposit shall be refunded. Buyer shall not be obliged to <br /> litigate to meet any of the conditions of Provision 6 above. <br /> 9. Title insurance shall be paid by Buyer. The cost of <br /> the survey herein shall be paid by Buyer. <br /> 10 . Items of expense ( including Taxes ) and income <br /> pertaining to said Realty shall be prorated to the date of <br /> closing. Taxes shall be prorated based on the latest available <br /> tax statements. Any credits or additional taxes imposed after <br /> closing shall be applied to Buyer' s account outside of Escrow. <br /> For purposes of this agreement closing shall be the date that the <br /> deed is accepted by the County Recorder' s Office for recording. <br /> Seller shall pay real estate transfer taxes. Buyer shall pay the <br /> cost of recording the deed . Assessments , including but not <br /> limited to public improvements, and all monetary liens, whether <br /> private or governmental , shall be extinguished at Seller ' s <br /> expense by Escrow at closing, except real estate taxes not yet <br /> payable which shall be prorated as aforesaid. All prorations <br /> shall be based on a 30-day month. <br /> 11. Title and vacant possession shall pass at closing. <br /> 12 . A. Buyer shall comply at its expense with any <br /> subdivision laws required for the purpose of segregating said <br /> Realty and creating a legal parcel . Buyer agrees to pay for all <br /> improvements that may be required under the subdivision <br /> requirement as pertains to the herein said Realty. <br /> 12 . B. Buyer shall assume all costs relating to any <br /> further subdivision of said Realty specifically required by <br /> Buyer. <br />
