All Services are provided in accordance with Federal,State and local statute and regulations,and as required by the appropriate regulatory agencies. Client,unless expressly stated otherwise,is responsible for obtaining all required permits and authorizations,and for providing all necessary access and permissions to access the Site.) PROVIDE PERSONNEL, EQUIPMENT AND MATERIALS TO REMEDIATE BIO DIESEL FUEL SPILLS IN STOCKTON ,CA. ALL RATES AND TERMS WILL REFER TO CURRENT TO CURRENT PSPA CONTRACT WITH AIG INSURANCE. THIS MSA WILL ALSO SERVE AS A CONTRACT FOR ANY SERVICES REQUESTED HERE FORWARD BETWEEN COMMUNITY FUELS AND PATRIOT ENVIRONMENTAL ON AN AS NEEDED AND REQUESTED BASIS.(REVISED CONTRACT- 28 JANUARY 2017) GENERAL TERMS AND CONDITIONS 1. General. This Agreement is the Master Services Agreement("MSA"or"Agreement")between Patriot Environmental Services, Inc.,("Patriot") and Customer, identified above. The services requested by Customer("Services"),are generally described above. This MSA includes Patriot's Terms and Conditions,and the Patriot Fee Schedule, attached hereto,which,together, constitute the entire agreement relatingto the Services to be provided by Patriot. Signature of the Customer or the Customer's authorized representative or authorized agent(collectively, "Customer"), below constitutes acknowledgement that all provisions of the MSA documents have been read and are understood,and constitutes acceptance of the MSA in its entirety. 2. Compensation and Payment. Compensation for the Services shall be in accordance with the attached Patriot Fee Schedule. Cost information provided by Patriot are estimates only and are not binding on Patriot and actual time spent and/or equipmenttime spent shall control Customer's fees for the Services. Payment for Services is required to be in accordance with the Terms and Conditions and acceptance of this payment schedule is a material condition of this Agreement, and a�n elay or threatened delay in payment will allow Patriot to suspend or terminate operations immediately. Initialing by the Customer here constitutes Agreement that this provision is fully understood by Customer,and that Customer accepts responsibility for payment according o the schedule provided in the Terms and Conditions Statement. 3. Insurance. Customer is responsible for providing Patriot with proof of insurance prior to the commencement of Services,said proof to name Patriot as additional ensured on the portions of the policy covering the Services. Customer is required to compensate Patriot according to paragraph 2 and the Terms and Conditions regardless of delays in payment which may be caused by any insurance company. If insurance limits or policy provisions are deemed unsatisfactory by Patriot, Patriot may require advance payment before beginning or continuing to provide Services. 4. Limited Power of Attorney. Initialing by the Customer here constitutes appointment of Patriot as its attorney-in-fact to execute on behalf of Customer all profile,waste manifests and other documents required for the proper transportation and disposal of waste and hazardous material resulting from or recovered by Patriot during the performance of Services.
