WHEREAS, the Work Plans identify the need for monitoring well construction and long-term <br /> access rights to monitor wells at designated locations within the real property at which the <br /> Facilities are located; and <br /> WHEREAS, the borings and monitoring wells installed at the locations determined in accordance <br /> with the Work Plans will be used to gauge the vertical and lateral limits of volatile organic <br /> compounds and inorganic constituents in the soil, soil vapor, and groundwater; and <br /> WHEREAS, Permittee has retained Arcadis U.S., Inc. as its agent and consultant ("Contractor") <br /> to establish and manage the Work Plans and perform other work related to the Orders; and <br /> WHEREAS, Permittee requests access to the"Premises,"defined for purposes of this Agreement <br /> as the Existing Wells and unimproved real property (defined as land that is not improved by <br /> buildings, structures, infrastructure, or other improvements) within the area identified as the <br /> "Study Area" in Exhibit B, to implement the Work Plans; and <br /> WHEREAS, Permittee agrees to bear all costs associated with the Work Plans including borings, <br /> well installation, and monitoring activities. Permittee guarantees it has secured sufficient funds to <br /> complete all activities authorized in this Agreement; and <br /> WHEREAS, State is not charging a licensing fee of any kind for the rights herein conveyed; and <br /> WHEREAS, State has determined it is in the best interest of the State to authorize access to the <br /> Premises, implementation of the Work Plans at the Premises, and monitoring the groundwater at <br /> the Facilities via access to both newly constructed wells and the Existing Wells within the <br /> Premises for the purposes of compliance with the Orders. <br /> NOW, THEREFORE, the State and Permittee agree that the foregoing recitals are true and <br /> correct and accordingly, the State agrees that Permittee may access the Premises pursuant to <br /> the following conditions: <br /> PERMISSION TO ENTER PREMISES <br /> The State hereby grants permission to Permittee to enter the Premises for the purpose, and <br /> only for the purpose, of performing work to implement the Work Plans. Permittee may not <br /> perform any activities or services not related to the Work Plans. The State additionally grants <br /> Permittee permission to access the Premises for ongoing monitoring activities as outlined in the <br /> Work Plans, to include groundwater monitoring and testing, well maintenance, repair, and <br /> overall use of monitoring wells newly constructed and previously constructed by Permittee as <br /> defined below. <br /> Additional monitoring well locations may be added to the ongoing monitoring and reporting <br /> program as a result of the findings from the proposed CDCR Site Investigation.
