WHEREAS, the Work Plans identify the need for monitoring well construction and long-term access rights to monitor wells at designated locations within the real property at which the Facilities are located; and WHEREAS, the borings and monitoring wells installed at the locations determined in accordance with the Work Plans will be used to gauge the vertical and lateral limits of volatile organic compounds and inorganic constituents in the soil, soil vapor, and groundwater; and WHEREAS, Permittee has retained Arcadis U.S., Inc. as its agent and consultant ("Contractor") to establish and manage the Work Plans and perform other work related to the Orders; and WHEREAS, Permittee requests access to the"Premises,"defined for purposes of this Agreement as the Existing Wells and unimproved real property (defined as land that is not improved by buildings, structures, infrastructure, or other improvements) within the area identified as the "Study Area" in Exhibit B, to implement the Work Plans; and WHEREAS, Permittee agrees to bear all costs associated with the Work Plans including borings, well installation, and monitoring activities. Permittee guarantees it has secured sufficient funds to complete all activities authorized in this Agreement; and WHEREAS, State is not charging a licensing fee of any kind for the rights herein conveyed; and WHEREAS, State has determined it is in the best interest of the State to authorize access to the Premises, implementation of the Work Plans at the Premises, and monitoring the groundwater at the Facilities via access to both newly constructed wells and the Existing Wells within the Premises for the purposes of compliance with the Orders. NOW, THEREFORE, the State and Permittee agree that the foregoing recitals are true and correct and accordingly, the State agrees that Permittee may access the Premises pursuant to the following conditions: PERMISSION TO ENTER PREMISES The State hereby grants permission to Permittee to enter the Premises for the purpose, and only for the purpose, of performing work to implement the Work Plans. Permittee may not perform any activities or services not related to the Work Plans. The State additionally grants Permittee permission to access the Premises for ongoing monitoring activities as outlined in the Work Plans, to include groundwater monitoring and testing, well maintenance, repair, and overall use of monitoring wells newly constructed and previously constructed by Permittee as defined below. Additional monitoring well locations may be added to the ongoing monitoring and reporting program as a result of the findings from the proposed CDCR Site Investigation.
