locations are unknown at this time and an amendment to this Agreement will be required to add <br /> those locations to this Agreement in the future. <br /> TERMS AND CONDITIONS <br /> Tenn Unless earlier terminated by either the State or the Permittee this Agreement shall <br /> commence on the date this Agreement is fully executed by the State and Permittee and <br /> continue until such time as it is no longer necessary or required as evidenced by a written <br /> determination of the CVRWQCB. <br /> Termination This Agreement may be canceled by the State at any time at the reasonable discretion of <br /> the State upon 50-days written notice to Permittee and by Permittee at any time upon the <br /> giving of 50-days prior notice to the State. Once notice is provided, Permittee shall, within <br /> 30-days, deliver a well decommissioning plan, including scope of work, methodology for <br /> decommissioning, and a project schedule. Permittee will bear all well decommissioning <br /> costs; a Temporary Right of Entry will be provided to Permittee from State for well <br /> decommissioning work once the decommissioning plan is reviewed. State will not cover <br /> any well decommissioning costs. Cancelation by the State pursuant to this section cannot <br /> directly cause the Permittee to be in noncompliance with the Orders. <br /> Subordination Notwithstanding any provision in this Agreement, the Parties agree that this Agreement: (i) <br /> in all respects is subordinate and subject to the terms of the Series 2012 A Bond <br /> Documents and the Series 2012 G Bond Documents, including any future amendments or <br /> restatements of the Series 2012 A Bond Documents and Series 2012 G Bond Documents <br /> or indentures, site leases, and facility leases entered into to facilitate a refunding of the <br /> Series 2012 A or Series 2012 G bonds; and (ii) is subject to review and written consent of <br /> the SPWB prior to execution, as is any amendment or modification thereto. A copy of the <br /> Series 2012 A Bond Documents and Series 2012 G Bond Documents is available upon <br /> request by contacting CDCR staff identified in the "Notifications" section of this Agreement. <br /> Further, this Agreement is subject to existing contracts, leases, licenses, encumbrances, <br /> and claims which may affect said Premises. This Agreement shall govern all contracts <br /> between Permittee and its other contractors, sub-contractors, and agents in relation to the <br /> Work Plans and monitoring wells on the Premises. Permittee agrees to include provisions <br /> in its agreement(s) with contractors, sub-contractors, and agents to the effect that <br /> contractor, sub-contractors, and agents shall be subject to and bound by all relevant <br /> provisions of this Agreement. Such agreement(s) shall provide that contractors, sub- <br /> contractors, and agents shall be obligated to Permittee in the same manner and to the <br /> same extent as Permittee is obligated to State in the performance of the scope of work of <br /> this Agreement. <br /> Private Use The Parties hereto confirm that this activity is a compliance requirement initiated by the <br /> State of California and therefore is not subject to the definition of"Private Use" under the <br /> Internal Revenue Service (IRS), Internal Revenue Code §1.141-3. <br /> Right Of Entry Permit& Monitoring Well Agreement January 12, 2021 (L-2620) Page 4 <br />
